Yvonne Ramirez-Browning
For over 30 years, Yvonne has represented Fortune 50 lenders, both as senior counsel and in private practice.
She has managed and litigated commercial lending, credit, and workout transactions for a wide range of finance clients. Her expertise includes drafting and negotiating lending documents, advising on collection matters, and handling post-judgment and bankruptcy cases.
Additionally, Yvonne has managed all aspects of pre-litigation, including workouts, modifications, settlements, and assumption agreements.
She has provided regulatory and legal guidance and compliance applicable to commercial bank lenders and SBA 7(a), 504 and PPP loans.
Her work resulted in millions of dollars of recoveries for her clients. She also assisted clients in developing quality control programs, lending policies, and procedures.
Yvonne is a graduate of the University of Texas and the University of Texas School of Law. She is licensed in Texas and California. Yvonne’s two children are UCLA graduates.
She enjoys community theater, and can handle her own on the pickleball court.

John R. Browning
John has practiced law in California for over 30 years, representing small businesses, public and private companies, lenders, real estate developers, and homebuilders.
John’s legal practice focuses on advising his clients through the labyrinth of California’s rules and regulations. Long ago, a litigator, John’s goal for his clients is to negotiate and draft business documents that will help his clients succeed and avoid the courtroom.
He has helped clients raise over $100 million in private and public securities offerings and closed over $200 million in real estate transactions.
In addition to being an established attorney, John is the father of proud father of two UCLA graduates and a husband who is active in the Orange County community.
He served for two years as the President of the Newport Heights Elementary School Foundation, which under his leadership raised more money than any other elementary school foundation in the Newport-Mesa Unified School District.
He also served on the board of directors of the local AYSO soccer league for multiple years and founded the debate team at Ensign Intermediate School, training his son and other students in the virtues of effective research, analysis, and argument.
John is a graduate of UC Irvine and the McGeorge School of Law.
